These Terms of Service ("Terms") govern your use of the Flipper47 application and website (collectively, the "Service"), operated by YourCompanyName LLC (if applicable, otherwise remove or state "operated by the Flipper47 team"). Please read these Terms carefully before using our Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password or authentication method (e.g., Google Sign-In, Magic Link) that you use to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Subscriptions and Payments

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a weekly, monthly, or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Flipper47 cancels it. You may cancel your Subscription renewal either through your online account management page (via our payment processor, Lemon Squeezy) or by contacting Flipper47 customer support at support@flipper47.app.

A valid payment method is required to process the payment for your Subscription. You shall provide Flipper47's third-party payment processor (Lemon Squeezy) with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Flipper47 (through Lemon Squeezy) to charge all Subscription fees incurred through your account to any such payment instruments.

All payments are handled by our third-party payment processor, Lemon Squeezy. Flipper47 does not store your credit card details. Please refer to Lemon Squeezy's terms and privacy policy for more information on how they handle your payment data.

3. Use of the Service

Flipper47 provides AI-powered item identification and resale value estimation. This information is provided for informational purposes only and should not be considered financial or professional advice. We strive for accuracy, but market conditions can change rapidly, and AI estimations may not always be perfect. You are solely responsible for your buying and selling decisions.

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate Flipper47, a Flipper47 employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm or offend Flipper47 or users of the Service or expose them to liability.

We reserve the right to terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

4. Intellectual Property

The Service and its original content (excluding content provided by users, if applicable in the future), features, and functionality are and will remain the exclusive property of YourCompanyName LLC (or Flipper47 if no separate company) and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of YourCompanyName LLC (or Flipper47).

Specifically, the Flipper47 name, logo, and mascot are trademarks of Flipper47.

5. User Content (e.g., Uploaded Photos)

If you upload photos or provide item descriptions ("User Content") to the Service, you retain all of your rights to your User Content. However, by providing User Content to the Service, you grant Flipper47 a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in connection with operating and providing the Service, including for the purpose of training and improving our AI models.

This license is solely for the purpose of operating, developing, providing, and improving the Service. For example, we may use anonymized and aggregated data from uploaded photos and item descriptions to improve the accuracy of our item identification and value estimation features. We will not sell your individual photos or use them for direct advertising without your explicit consent.

You represent and warrant that: (i) the User Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

6. Disclaimer of Warranties; Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Flipper47 makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, Flipper47 does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Service or otherwise relating to such materials or on any sites linked to this site. The AI-generated estimations are for informational purposes only and are not guaranteed to be accurate or reflect actual resale values.

In no event shall Flipper47 or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Service, even if Flipper47 or a Flipper47 authorized representative has been notified orally or in writing of the possibility of such damage.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your State/Country, e.g., California, United States], without regard to its conflict of law provisions.

8. Changes to Terms

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
